Job Purpose
Support the Board Governance and Secretariat in facilitating governance activities including the design and implementation of the highest quality Board Governance policies, processes as well as reports, in order to help achieve RCU's mission and objectives.
Functional Responsibilities
- Draft Board Governance related policies and charters in line with RCU's regulation and related policies.
- Create and maintain Board and Committees templates, processes and procedures that facilitate the Board and Committees operations for RCU and its Subsidiaries
- Prepare strategic documents and presentations related to Board and Committees governance (i.e. compositions, establishment of new committees).
- Participate in developing and setting governance principles and systems, ensuring proper controls are in place for optimal oversight and monitoring of activities.
- Conduct periodic reviews of the governance model, evaluate the existing BoD Secretariat structure for effectiveness and best practice, and recommend relevant enhancements.
- Ensure compliance of the members with the COI Policy, assess Conflict of Interest cases and prepare required reports.
- Participate in the review and development of RCU’s Authority Matrix, internal regulations, bylaws and policies.
- Undertake research and data analysis to support the board and affiliated Committees in governance-related matters, adhering to all organizational policies, procedures, standards, and practices related to data analysis and reporting.
- Review and update the board and affiliated committees-related documents to ensure the availability of accurate and verified information, supporting high-level accountability and delegated authority framework to ensure that all key decisions are taken in
- Perform any other job-related duties as required by the direct manager
Academic Qualifications
- Bachelor's Degree in Public Administration, Law, Governance, or a related field.
Work Experience
- 3 Years of relevant experience.
Other Requirements
- Excellent communication skills.
- Written and Oral proficiency of Arabic and English languages.
